Please read these Terms of Service carefully before using the NexionTools website, plugins, or any of our services.

General Provisions
1. Acceptance of Terms
- By creating an account, accessing our website, or using any NexionTools products or services, you agree to be bound by these Terms of Service ("Terms").
- If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
- If you do not agree to these Terms, you may not access or use our services.
- We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Continued use of our services after such notice constitutes acceptance of the updated Terms.
2. Description of Services
- NexionTools develops and distributes automation plugins for Autodesk® Revit®, serving architecture and engineering professionals.
- Our services include: (a) free and commercial Revit plugins, (b) a cloud-based licensing and device management portal, (c) automated plugin updates, and (d) customer support via our ticket system.
- Free tools are provided under the Explorer tier. Commercial tools require an active paid subscription.
3. Accounts and Registration
- To access our services, you must create an account with accurate and complete information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
- By creating an account, you confirm that you have read and agree to these Terms of Service and our Privacy Policy.
Subscriptions & Billing
4. Subscription Plans and Pricing
- NexionTools offers the following subscription tiers: Explorer (free, 12 plugins), Professional (€490/year), Team (€890/year for 3 seats), and Studio (€1,790/year for 10 seats).
- All prices are in Euros (EUR) and exclude applicable taxes. Taxes are calculated and collected at checkout by our payment processor.
- Subscriptions are billed annually. Your subscription automatically renews at the end of each billing period unless cancelled.
- We reserve the right to change pricing with 30 days' advance notice. Price changes will take effect at your next renewal date.
- Payments are processed securely by our authorized payment processor, which acts as the Merchant of Record for all NexionTools purchases. The payment processor handles all billing, tax compliance, and invoicing on our behalf.
5. Free Trial
- New users may be eligible for a free trial of the Professional tier to evaluate our commercial plugins.
- The free trial provides full access to Professional-tier features for the duration of the trial period.
- No payment information is required to start a free trial.
- Each user account is limited to one (1) free trial. Creating multiple accounts to obtain additional trials is a violation of these Terms.
- At the end of the trial period, your account will automatically revert to the Explorer (free) tier unless you subscribe to a paid plan.
- We reserve the right to modify, suspend, or discontinue the free trial program at any time.
6. Refund Policy
- Our authorized payment processor acts as the Merchant of Record and the seller of all NexionTools subscriptions. All refunds are processed by the payment processor in accordance with their policies and applicable consumer protection laws.
- You may request a full refund within fourteen (14) days of your initial subscription purchase, or within fourteen (14) days of any subscription renewal date.
- To initiate a refund request, please contact us at support@nexiontools.com or through our support system inside the client portal within this 14-day period, and we will coordinate the refund with the payment processor on your behalf.
- Please note that the payment processor reserves the right to determine, in its sole discretion, whether a refund is appropriate. Refunds may also be issued at the payment processor's discretion within 60 days of purchase to prevent chargebacks.
- Approved refunds are typically reflected on your original payment method within 5–10 business days.
- After the 14-day refund period has elapsed, no refunds will be issued for the remainder of the current billing cycle.
7. Cancellation
- You may cancel your subscription at any time through the client portal or by contacting our support team.
- Upon cancellation, your access to paid features continues until the end of your current billing period.
- After your billing period ends, your account will revert to the Explorer (free) tier. You will retain access to your account, support history, and any free plugins.
- No pro-rated refunds are issued for unused portions of a billing period.
8. Merchant of Record
- Our authorized payment processor acts as the Merchant of Record for all NexionTools purchases. This means the payment processor is the entity that processes your payment, collects applicable taxes (VAT/GST/sales tax), issues invoices, and handles refunds.
- By purchasing through NexionTools, you acknowledge that the transaction is facilitated by our payment processor and is subject to their terms of service and privacy policy.
- NexionTools remains responsible for product delivery, technical support, and the overall service experience.
- For the purposes of data protection law, the payment processor acts as an independent data controller for your payment and billing data. Their processing of this data is governed by their own privacy policy, not by the NexionTools Privacy Policy.
- For billing inquiries, refund requests, or invoice-related questions, you may contact NexionTools at support@nexiontools.com.
Usage & IP
9. Licensing and Usage
- Commercial plugins require a valid, active license key to operate. License keys are tied to your account and may be bound to specific devices.
- Professional licenses permit use on a defined number of devices as specified by your subscription tier.
- Studio licenses include 5 seats. Each seat permits one user to install and use the plugins on their devices.
- You may not share, transfer, or sublicense your license key to third parties without written consent from NexionTools.
- You may not reverse engineer, decompile, modify, or create derivative works from our plugins.
- Violation of licensing terms may result in immediate license revocation without refund.
10. Intellectual Property
- All NexionTools plugins, source code, documentation, branding, and website content are the intellectual property of NexionTools and are protected by applicable copyright and intellectual property laws.
- Your subscription grants you a limited, non-exclusive, non-transferable license to use the plugins during your active subscription period.
- Autodesk and Revit are registered trademarks of Autodesk, Inc. NexionTools is an independent company and is not affiliated with or endorsed by Autodesk.
11. Automatic Updates
- NexionTools plugins may periodically check for available updates by contacting our servers.
- When an update is available, the plugin will notify you and offer to install it. Updates are downloaded over encrypted connections and verified for integrity before installation.
- You may disable automatic update checks through the plugin settings. However, running outdated versions may result in reduced functionality or compatibility issues with newer Revit versions.
Liability & Legal
12. Data and Privacy
- Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
- NexionTools plugins run locally within your Autodesk® Revit® environment. Our plugins do not transmit your Revit project data, model files, or proprietary content to external servers.
- Our plugins do transmit anonymized usage analytics (tool names, execution times, and software versions) as described in our Privacy Policy. You can opt out of analytics collection at any time through the plugin settings.
- Our cloud services (licensing, updates, support) collect only the data necessary to provide these services, as described in our Privacy Policy.
13. Disclaimer of Warranties
- Our services are provided "as is" and "as available" without warranty of any kind, express or implied.
- We do not warrant that our plugins will be error-free, uninterrupted, or compatible with all Revit versions or configurations.
- We do not guarantee that our plugins will meet your specific requirements or produce particular results.
- You acknowledge that the use of our plugins carries inherent risks, including potential impact on Revit models. You are responsible for maintaining adequate backups of your data.
14. Limitation of Liability
- To the maximum extent permitted by law, NexionTools shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total aggregate liability for any claim arising from use of free tools is limited to zero.
- For paid subscriptions, our total aggregate liability is limited to the amount you paid for the subscription in the 12-month period preceding the claim.
- These limitations apply regardless of the legal theory on which the claim is based.
15. Indemnification
- You agree to indemnify and hold harmless NexionTools, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from: (a) your use of our services, (b) your violation of these Terms, or (c) your violation of any applicable laws.
16. Termination
- We may suspend or terminate your access to our services at any time for violation of these Terms, with or without notice.
- Upon termination for cause, no refund will be issued.
- You may terminate your account at any time by contacting us. The cancellation policy in Section 7 applies.
- Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.
17. Governing Law and Disputes
- These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law provisions.
- Any disputes arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
- If negotiation fails within 30 days, either party may pursue resolution through binding arbitration or the competent courts in the jurisdiction of NexionTools' principal place of business.
- Nothing in these Terms limits your rights under mandatory consumer protection laws that may apply in your country of residence.
